1. Acceptance of Terms

Welcome to RentSpace. These Terms of Service ("Terms") govern your access to and use of the RentSpace website at rentspace.co.ke, our mobile-optimized platform, and all related services (collectively, the "Platform").

By creating an account, listing a property, subscribing to a plan, or otherwise accessing the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Platform.

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use after changes constitutes acceptance.

2. Definitions

• "RentSpace", "we", "us", "our" refers to RentSpace Kenya, the operator of the Platform.
• "User", "you", "your" refers to any individual or entity accessing the Platform.
• "Agent" or "Landlord" refers to a User who lists properties on the Platform.
• "Listing" refers to any property advertisement (sale, rent, land, or short-stay) published on the Platform.
• "Subscription" refers to a paid plan (Silver, Gold, or Platinum) that unlocks additional listing capacity and visibility features.
• "Content" refers to any text, images, video, or other materials you upload to the Platform.

3. Eligibility

To use RentSpace, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts under Kenyan law.
• Not be barred from using the Platform under any applicable law.
• If listing a property, have the legal authority to advertise it (as owner, agent, or authorized representative).

4. Account Registration & Security

You must create an account to access certain features, including listing properties and subscribing to plans. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password confidential and secure.
• Be solely responsible for all activity under your account.
• Notify us immediately of any unauthorized use of your account.

You may only maintain one account per person or business entity. Duplicate accounts may be merged or terminated without notice.

5. Subscription Plans & Billing

RentSpace operates on a subscription model. Free users receive a 30-day trial with limited listing capacity. Paid subscriptions unlock more listings and premium visibility.

5.2 Listing Expiry & Renewal

• Free trial listings expire 30 days from publication unless the user upgrades.
• Paid plan listings remain active for the duration of the subscription.
• When a subscription expires, active listings are marked "expired" and hidden from public search results.
• Users are downgraded to the Free plan upon subscription expiry, and their account is limited accordingly.
• Expired listings are automatically archived 30 days after expiry.

5.3 Re-activation on Renewal

If you renew your subscription before your listings are archived, all your expired listings will be automatically reactivated with a fresh expiry window tied to your new subscription period.

5.4 Plan Changes

You may upgrade to a higher plan at any time; the new plan takes effect immediately and the pricing is prorated where applicable. Downgrades take effect at the start of your next billing cycle.

6. Payments & M-PESA Terms

6.1 Payment Methods

Subscription payments are processed securely via M-PESA through our payment partner IntaSend. By subscribing, you authorize us to initiate an STK push to your registered mobile number and debit the agreed amount.

6.2 Subscription Activation

Subscriptions activate automatically upon successful M-PESA payment confirmation, typically within 5–30 seconds. If your subscription does not activate within 5 minutes, contact support at info@rentspace.co.ke.

6.3 Refund Policy

• You were charged twice in error — the duplicate will be reversed within 7 business days.
• Payment was made but no subscription was activated due to a technical fault — a full refund or replacement will be processed within 7 business days.
• You request cancellation within 24 hours of payment and no listing has been published.

To request a refund, email info@rentspace.co.ke with your M-PESA transaction code and reason for request.

6.4 Failed or Disputed Payments

If a payment fails or is reversed, your subscription may be suspended. Persistent payment failures may result in account suspension. We reserve the right to suspend services pending resolution of disputed payments.

6.5 Taxes

All prices are displayed inclusive of applicable Kenyan taxes, where required by law. You are responsible for any taxes arising from your activities on the Platform.

6.6 Subscription Cancellation

You may cancel your subscription at any time by emailing info@rentspace.co.ke from your registered email address. Please note:

• No auto-renewal: RentSpace subscriptions do not auto-renew. You will receive a reminder email 3 days before expiry and may choose to renew manually through the Platform.
• Cancellation takes effect immediately: Once cancelled, your subscription will not be charged again, and no further listings can be published.
• Access until end of period: If you cancel mid-cycle, you retain access to your subscription features (published listings, visibility boost) until the end of your current paid period. You will not receive a partial refund for the remaining days.
• Re-subscription: You may re-subscribe at any time after cancellation. Your previous listings (if still active or archived) may be reinstated on renewal, subject to availability.
• No cancellation fee: There is no penalty for cancelling.

6.7 Consumer Cooling-Off

Where applicable under the Kenya Consumer Protection Act, 2012, you may have the right to cancel a subscription within 7 days of purchase. To exercise this right, contact us within 7 days of payment. Refunds under this clause are subject to the requirements in Section 6.3.

7. Property Listings

7.1 What You May List

You may list properties only if you are the owner, the authorized agent, or a representative with explicit written permission from the owner. Properties must be accurately described.

7.2 Listing Standards

• Titles must be descriptive but not misleading or clickbait.
• Descriptions must be factual, original, and free of spam, contact details in text (use our contact system instead), and prohibited content.
• Images must be your own or used with permission, and must accurately represent the property.
• Prices must be current and accurate.
• Each property may only be listed once — duplicates will be removed.

7.3 Listing Moderation

All listings are reviewed before publication. RentSpace reserves the right to approve, reject, edit, or remove any listing for any reason, including policy violations, inaccuracy, or abuse.

7.4 Listing Limits

Listing limits apply per subscription plan (see Section 5.1). Users exceeding their plan limits will be prompted to upgrade.

7.5 Prohibited Content

You may not list:

• Properties that do not exist or that you do not have authority to advertise.
• Properties subject to unresolved legal disputes.
• Content that is discriminatory, defamatory, obscene, or unlawful.
• Content copied from other platforms without permission.
• Contact information presented in a way intended to bypass the Platform's messaging.

8. User Conduct

When using RentSpace, you agree not to:

• Impersonate any person or entity, or falsely misrepresent your affiliation.
• Use automated scripts, bots, or scrapers to access the Platform.
• Attempt to interfere with, hack, or disrupt the Platform's security or functionality.
• Harass, threaten, or abuse other users, agents, or RentSpace staff.
• Use the Platform for any illegal purpose, including money laundering or fraud.
• Post content that infringes third-party intellectual property rights.

RentSpace reserves the right to suspend or terminate accounts that violate these standards, and to report illegal activity to the relevant authorities.

9. Intellectual Property & Content

9.1 RentSpace's Property

All content, design, trademarks, logos, and software associated with RentSpace (excluding User Content) are owned by RentSpace Kenya or its licensors and are protected by Kenyan and international copyright laws.

9.2 User Content License

By uploading Content (images, descriptions, etc.), you confirm that you own or have the legal right to use it, and you grant RentSpace a worldwide, non-exclusive, royalty-free, transferable license to:

• Display your Content on the Platform to other Users.
• Reproduce and adapt your Content for marketing purposes (social media, newsletters, ads).
• Sublicense this Content to our affiliates and partners for the same purposes.

You retain full ownership of your Content. This license ends when your Content is deleted, except where it has already been shared with third parties (e.g., cached by search engines).

9.3 DMCA / Takedown

If you believe your copyright has been infringed by Content on the Platform, email info@rentspace.co.ke with details. We will investigate and take appropriate action, including removing infringing Content.

10. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We process personal data in accordance with the Kenya Data Protection Act, 2019. For full details on your rights and our obligations, please review our Privacy Policy.

11. Limitation of Liability

RentSpace acts as a marketplace facilitator. We are not a party to any transaction between users, agents, landlords, and tenants. We do not guarantee:

• The accuracy or completeness of any listing.
• The quality, safety, or legality of any listed property.
• The performance of any user, agent, or landlord.

To the maximum extent permitted by Kenyan law, RentSpace is not liable for:

• Indirect, incidental, or consequential damages arising from Platform use.
• Losses resulting from property transactions between users.
• Disputes between tenants and landlords.
• Loss of data, profits, or business opportunities.

Our total liability for any claim is limited to the amount you paid to RentSpace in the 3 months preceding the claim.

12. Suspension & Termination

12.1 By You

You may close your account at any time by contacting info@rentspace.co.ke. Active subscriptions will not be refunded unless covered by our refund policy.

12.2 By RentSpace

We may suspend or terminate your account if you:

• Violate these Terms or any applicable law.
• Provide false or misleading information.
• Engage in fraudulent, abusive, or harmful behavior.
• Fail to pay applicable subscription fees.
• Repeatedly list content that violates our policies.

Upon termination, you remain liable for any outstanding fees. Content may be retained for legal, accounting, or fraud-prevention purposes.

13. Dispute Resolution

We encourage users to resolve disputes directly through our support team first. Email info@rentspace.co.ke and we will make reasonable efforts to resolve the matter within 30 days.

If a dispute cannot be resolved amicably, it shall be referred to mediation in Nairobi, Kenya, in accordance with the Mediation Accreditation Committee rules, before any legal proceedings are initiated.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
